These Terms of Service ("Terms") govern your use of the Vital Spark website and services. By accessing or using our services, you agree to be bound by these Terms.
Services
Vital Spark provides digital marketing services for healthcare practices, including website development, search engine optimization, paid advertising management, and related services. Specific services are defined in individual service agreements.
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information
- Grant necessary access to accounts and platforms
- Review and approve content in a timely manner
- Comply with all applicable laws and regulations
- Maintain confidentiality of login credentials
Payment Terms
Payment terms are specified in individual service agreements. Generally, services are billed monthly in advance. Late payments may result in service suspension.
Intellectual Property
Upon full payment, clients own the deliverables we create for them (websites, content, etc.). We retain the right to use work samples in our portfolio unless otherwise agreed.
Limitation of Liability
Vital Spark's liability is limited to the fees paid for services. We are not liable for indirect, incidental, or consequential damages, including lost profits or business opportunities.
Termination
Either party may terminate services with 30 days written notice. Upon termination, we will provide all client-owned assets and deliverables.
Governing Law
These Terms are governed by the laws of the United States. Any disputes will be resolved through binding arbitration.
